1. Definitions

"Platform" refers to the XBridgee website, mobile applications, and related services

"User" refers to any individual or entity using our services

"Store Owner" refers to users who own e-commerce stores and seek operation services

"Operator" refers to users who provide e-commerce operation services

"Cooperation" refers to the business relationship between Store Owners and Operators

"Services" refers to all features and functionalities provided by the Platform

2. Account Registration and Eligibility

2.1 Eligibility

• You must be at least 18 years old to use our services

• You must have the legal capacity to enter into binding agreements

• You must not be prohibited from using our services under applicable laws

• Business users must have valid business registration and licenses

2.2 Account Registration

• You must provide accurate and complete information during registration

• You are responsible for maintaining the confidentiality of your account credentials

• You must notify us immediately of any unauthorized use of your account

• One person or entity may only maintain one account

2.3 Account Verification

• We may require identity verification for certain services

• Business accounts require additional documentation

• We reserve the right to suspend unverified accounts

• False information may result in account termination

3. Platform Services

3.1 Service Description

• Matching Store Owners with qualified Operators

• Facilitating cooperation agreements and contracts

• Processing payments and revenue sharing

• Providing communication and collaboration tools

• Offering performance monitoring and analytics

3.2 Service Availability

• Services are provided on an "as is" and "as available" basis

• We do not guarantee uninterrupted service availability

• Scheduled maintenance may temporarily affect service access

• We reserve the right to modify or discontinue services

4. User Responsibilities and Conduct

4.1 General Responsibilities

• Comply with all applicable laws and regulations

• Provide accurate and up-to-date information

• Maintain the security of your account

• Use services only for legitimate business purposes

4.2 Prohibited Activities

• Fraudulent or deceptive practices

• Violation of intellectual property rights

• Harassment or abusive behavior toward other users

• Attempting to circumvent platform security measures

• Uploading malicious software or content

• Creating multiple accounts to evade restrictions

5. Cooperation Terms

5.1 Cooperation Agreements

• All cooperations must be formalized through platform agreements

• Terms must be clearly defined and agreed upon by both parties

• Revenue sharing arrangements must be specified

• Performance expectations and metrics must be established

5.2 Security Deposits

• Both parties may be required to pay security deposits

• Deposits ensure commitment and quality of cooperation

• Deposits are refunded upon successful completion of cooperation

• Violations may result in deposit forfeiture

5.3 Performance Standards

• Operators must meet agreed-upon performance metrics

• Store Owners must provide necessary access and support

• Both parties must communicate regularly and professionally

• Disputes should be resolved through platform mediation

6. Payment Terms

6.1 Platform Fees

• Operators pay monthly subscription fees for platform access

• Transaction fees may apply to revenue sharing

• Fee schedules are published on the platform

• Fees are subject to change with 30 days notice

6.2 Revenue Sharing

• Revenue is shared according to cooperation agreements

• Payments are processed monthly

• All transactions are recorded and auditable

• Disputes must be reported within 30 days

6.3 Refunds and Chargebacks

• Refund policies are specified in cooperation agreements

• Platform fees are generally non-refundable

• Chargebacks may result in account suspension

• Fraudulent chargebacks may result in legal action

7. Intellectual Property

• The Platform and its content are protected by intellectual property laws

• Users retain ownership of their original content and data

• Users grant us a license to use their content for platform operations

• Users must respect the intellectual property rights of others

• Infringement claims will be handled according to applicable laws

8. Privacy and Data Protection

Your privacy is important to us. Our collection, use, and protection of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

9. Limitation of Liability

• We are not responsible for the actions of users or cooperation outcomes

• Our liability is limited to the amount of fees paid to us

• We are not liable for indirect, incidental, or consequential damages

• Users assume responsibility for their business decisions and outcomes

10. Termination

10.1 Termination by User

• You may terminate your account at any time

• Active cooperations must be completed or properly terminated

• Outstanding obligations must be fulfilled

• Some data may be retained for legal compliance

10.2 Termination by Platform

• We may terminate accounts for violations of these Terms

• Serious violations may result in immediate termination

• We will provide notice when reasonably possible

• Terminated users may not create new accounts

11. Dispute Resolution

• Disputes should first be addressed through platform mediation

• Unresolved disputes may be subject to binding arbitration

• Arbitration will be conducted under established rules

• Class action lawsuits are waived

• Applicable law and jurisdiction are specified in cooperation agreements

12. Governing Law

These Terms of Service and any separate agreements whereby we provide you Services shall be governed by and construed in accordance with the laws of United Kingdom.

13. Changes to Terms

We may update these Terms from time to time. We will notify users of significant changes via email or platform notification. Continued use of the platform after changes constitutes acceptance of the new Terms.
